Tata Sons exonerates company secretary Suprakash Mukhopadhyay in Divinion Matter

Published on:

The Tata Sons board has exonerated Company Secretary Suprakash Mukhopadhyay of any breach of the Tata Code of Conduct following an internal investigation into his family’s association with Divinion Advisory Services, a financial services firm. The board, in its meeting held on Thursday, reviewed and accepted the findings of the investigation, which concluded that there was no intentional misconduct or abuse of position.

Sources familiar with the development indicated that while there had been a lapse in disclosure protocols — specifically, the failure to report indirect family interests in Divinion to the relevant internal authorities — the board accepted that the oversight was not deliberate. The inquiry had been commissioned by Tata Sons Chairman N Chandrasekaran after concerns were raised over potential conflicts of interest.

Mukhopadhyay, a long-serving and trusted member of the Tata leadership team, continues to enjoy the full confidence of the Tata Sons management. Insiders suggest that the matter was handled with sensitivity and integrity, reflecting both the personal trust and longstanding professional association between Mukhopadhyay and the chairman.

Divinion, established in December 2020, manages assets exceeding `90 crore and sponsors the Divinion Alternative India Fund. It is owned equally by Mukhopadhyay’s wife and two daughters. The company has strong professional links to the Tata ecosystem, with several former Tata executives on its leadership team, including former TCS CFO S Mahalingam and former Tata Asset Management COO Hormuz Bulsara.

The board also reviewed audit relationships. Chartered Accountant TP Ostwal - whose firm audited Divinion in FY21 and Tata Sons in FY23 and FY24 — serves on Divinion’s board. KBJ & Associates, Divinion’s current auditor, has previously worked with some TCS subsidiaries. Despite these intersections, the investigation found no evidence of impropriety.

Observers suggest that internal corporate rivalries may have played a role in escalating the issue. The Tata Trusts board also examined the report a day earlier and encouraged its nominees to act in the spirit of ethical governance.

In addition, the Tata Sons board reviewed Q4 FY25 financial results and other routine agenda items, reaffirming its commitment to transparency, accountability and the highest standards of corporate ethics.
